Company Transformations

Mergers, divisions and spin-offs, change of legal form and cross-border transformations, as well as the purchase and sale of shares and stakes.

A transformation changes the structure of a company: the company merges with another company or into one, divides, spins off part of its business or changes its legal form. Each of these changes affects the shareholders, the creditors and the employees, and each follows a procedure set by law.

We act for companies and their owners, from choosing the right form of transformation and preparing the documents to the entry of the transformation in the Commercial Register.

We also advise on the purchase and sale of shares and stakes. Before a transaction we review the company: its corporate documents, contracts, assets, employees and pending disputes. We set out the risks and how the contract can deal with them, then draft and negotiate the transaction documents.
